Partnership Agreement between Pharmacy and Lunashield
This Partnership Agreement (“Agreement”) is entered into by and between Lunashield (“Company”) and the undersigned pharmacy owner (“Pharmacy Owner”), collectively referred to as the “Parties.” This Agreement becomes effective upon the Pharmacy Owner’s signature below.
1. Services Provided by the Pharmacy Owner
The Pharmacy Owner agrees to provide the following services to Lunashield clients under the terms outlined here:
a. Free Delivery:
The Pharmacy Owner shall offer free delivery of medications to clients within the designated service areas specified by the Company.
b. Timely Preparation and Delivery:
- Medications must be prepared and ready for pick-up within one (1) business day of receiving the prescription.
- Deliveries shall be dispatched within one (1) business day after prescription preparation and delivered to the client within two (2) business days.
- In the event of an unsuccessful delivery, reasonable efforts shall be made to contact the client and arrange an alternative delivery or pick-up.
c. Order Status and Confirmation:
The Pharmacy Owner must provide timely updates and confirmations to Lunashield clients, including but not limited to:
- Notification when the prescription has been received, with an estimated preparation time.
- Notification when the prescription has been shipped, with an expected delivery time.
- Notification when the prescription is ready for pick-up.
- Follow-up communication to confirm the client has received the delivery.
d. Refill Services:
The Pharmacy Owner agrees to provide prescription refills upon client request, following the terms of the original prescription and all legal requirements.
e. Direct and Independent Billing:
- The Pharmacy Owner shall handle direct billing of prescription drugs to OHIP, private insurance, or other applicable payors.
- The Pharmacy Owner is responsible for independently billing clients for any outstanding drug fees or other charges (e.g., debit card, credit card, e-transfer).
2. Partnership Benefits: Payment Portal
As part of this partnership, Lunashield offers pharmacies the option to use our payment portal to process orders. By utilizing our payment portal system, clients can directly pay their drug fees online. Usage of this portal is optional; however, the following fees will apply:
- A 3% card processing fee.
- A $2 convenience fee per transaction.
Payments made through the online portal will be sent to the Pharmacy Owner via a payment method of Lunashield's choice, minus the processing and convenience fees, on a biweekly basis. If any issues arise with the prescription order, Lunashield reserves the right to withhold payment until the issue is resolved.
3. Term and Termination
This Agreement is valid for a term of one (1) year (365 days) from the date of execution by both Parties (“Term”). It may be renewed by mutual agreement.
a. Cancellation by Pharmacy Owner:
The Pharmacy Owner may cancel this Agreement by providing sixty (60) days' written notice to Lunashield, including the reason for cancellation.
b. Breach and Termination:
Failure by the Pharmacy Owner to meet the service obligations outlined in this Agreement may result in a breach of contract, at which point Lunashield reserves the right to terminate the partnership immediately.
4. Acceptance
By signing below, the Pharmacy Owner acknowledges and agrees to the terms and conditions of this Agreement, which shall be binding for the duration of the Term.
